These terms govern the use of the website at primotradingusa.com and of Primo Books Sync (the "Application"), both operated by Primo Global Trading, Inc. ("Primo", "we", "us"), a Wyoming corporation with its registered office at 1613 Evans Ave, Suite 530, Cheyenne, WY 82001, USA.
The Application is private and internal. It is not offered, sold, licensed or made available to the public. The only permitted users are Primo and personnel it authorizes, and the only permitted use is accessing Primo's own QuickBooks Online company file. If you are not authorized by Primo, you have no licence to use the Application.
1. Acceptance
By accessing the website or by installing, connecting or using the Application, you agree to these terms. If you do not agree, do not use the website or the Application.
2. Licence
Subject to these terms, Primo grants an authorized user a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the Application internally on Primo's behalf and for Primo's own business purposes. No other rights are granted, by implication or otherwise.
3. Restrictions
An authorized user must not:
- use the Application to access any QuickBooks company file other than Primo's own;
- copy, distribute, sell, lease, sublicense or otherwise make the Application available to any third party;
- reverse engineer, decompile or disassemble the Application, except to the extent that applicable law expressly permits it despite this restriction;
- remove or obscure any proprietary notice;
- use the Application unlawfully, or in a way that breaches Primo's agreements with Intuit or with any other service provider.
4. Ownership
The Application, the website and all associated intellectual property remain the property of Primo and its licensors. Primo's accounting data remains the property of Primo.
5. Authorization and disconnection
The Application connects to QuickBooks Online using Intuit's OAuth 2.0 authorization and acts only within the scope authorized at connection. Access may be withdrawn at any time by disconnecting the Application from the QuickBooks "Apps" screen or by written notice to Primo, after which the Application can no longer access the company file.
6. Data
Our handling of information is described in our Privacy Policy, which forms part of these terms. Each authorized user is responsible for the accuracy of the records they create or amend through the Application, and Primo remains responsible for maintaining its own books and records.
7. No professional advice
Neither the Application nor the website provides accounting, tax, legal or investment advice. Output produced by the Application is for internal use and must be reviewed by a qualified person before it is relied upon or filed.
8. Relationship with Intuit
QuickBooks and Intuit are trademarks of Intuit Inc. Primo Global Trading, Inc. is not affiliated with, endorsed by, or sponsored by Intuit Inc. Intuit is not a party to these terms and bears no responsibility for the Application.
9. Disclaimer of warranties
THE WEBSITE AND THE APPLICATION ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT. PRIMO DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED OR ERROR FREE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIMO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE WEBSITE OR THE APPLICATION.
11. Term and termination
Primo may suspend or terminate the licence at any time, with or without notice. On termination, use of the Application must stop and any connection to QuickBooks Online must be disconnected. Sections 4, 6 and 8 to 12 survive termination.
12. Governing law
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The courts located in the State of Wyoming have exclusive jurisdiction over any dispute arising out of these terms.
13. Changes
Primo may amend these terms. The version published on this page, with the effective date shown above, is the version that applies.
